Extension of time for the submission of data of Beneficial Owners in the Beneficial Owners register of companies and other legal entities

Τhe Department of Registrar hereby announces that the submission period of beneficial owners data is extended to 31.07.2022.

According to the new EU directives, it is obligatory for all Cyprus companies to complete the UBO Registry.
Every Cyprus company or legal entity should obtain access to the Governmental Portal of the Republic of Cyprus known as “Ariadni” and then to the Beneficial Owner Registry.

In order to comply, the following steps are necessary:

  1. Obtain access to Ariadni:
  • Click the following link to Register as an Organization:

Please note that all new registrations must have their own email account.

  • Account registration should be authenticated, for further details click the following link:

In order to visit the Citizen Service Centers you will need to call and arrange an appointment. Please ensure to take with you the company’s certificate of incorporation and the certificate of directors and secretary, ID or Passport and the printout of the email received during the registration.

 

      2. After the registration is completed, click the below link and select Registration of beneficial owner particulars.

  • You are then directed to the Government gateway portal Ariadni. If you have accounts in e-filing system you can combine them with Ariadni. If you don’t have an e-filing account please select the option of a new user and enter your username and password, which will redirect you to the Electronic filing page where you select again the option Registration of beneficial owner particulars and enter the company’s registration number, click Search & Next and then select the + icon.
  • Then select Beneficial owner type – A) Beneficial Owner or B) a Senior Management official.
  • Input the registration / change date – all companies registered before 16/3/2021 must input 16/3/2021.
  • Select the appropriate field depending on whether the beneficial owner is a i) Natural Person ii) Trust iii) Foundation iv) Other similar legal arrangement or v) Listed Company. For each selection input the information requested.
  • Then proceed to select the nature of the beneficial interest i) Direct ownership ii) Indirect ownership iii) Direct & indirect ownership.
  • For the extent of the beneficial interest complete at least one of the following 3 options according to the % owned or controlled:
  1. Percentage of shares
  2. Voting rights
  3. Significant influence or control with other means

Please note that the total % will be calculated automatically by the system and it should not exceed 100% for each entity.

  • Upon completion of the required fields click the button “Send” to submit the details.

In case of two or more beneficial owners the procedure must be repeated from point 2 onwards.

Σημαντικές πληροφορίες σχετικά με το μητρώο Κύπρου UBO και οδηγίες εγγραφής

Θα θέλαμε να σας πληροφορήσουμε ότι βάση των καινούργιων οδηγιών της ΕΕ όλες οι Κυπριακές εταιρείες και νομικές οντότητες έχουν υποχρέωση όπως καταχωρήσουν τους πραγματικούς δικαιούχους τους στον Έφορο Εταιρειών (Μητρώο Πραγματικών Δικαιούχων). 
Η συλλογή στοιχείων των πραγματικών δικαιούχων θα γίνετε ακολουθώντας την παρακάτω διαδικασία:

  1. Δημιουργία εταιρικού προφίλ στην Αριάδνη:
  • Ακολουθώντας τον παρακάτω σύνδεσμο:

Για κάθε νέα εγγραφή θα πρέπει να χρησιμοποιείτε ξεχωριστό email.

  • Ταυτοποίηση εταιρικού προφίλ της εταιρείας θα γίνεται κατόπιν ραντεβού στα Κέντρα Εξυπηρέτησης του Πολίτη. Πληροφορίες θα βρείτε στον πιο κάτω σύνδεσμο:

Στο καθορισμένο ραντεβού θα πρέπει να προσκομίσετε τα Πιστοποιητικά σύστασης της εταιρείας,  Διευθυντών και Γραμματέα καθώς επίσης και την ταυτότητα ή Διαβατήριο και το email που σας στάλθηκε για την εγγραφή.

       2. Μετά την ολοκλήρωση της εγγραφής θα πρέπει να εισέλθετε στην σελίδα που θα βρείτε στον πιο κάτω σύνδεσμο και επιλέξτε Καταχώρηση στοιχείων  πραγματικού δικαιούχου.

  • Καταχωρήστε τους κωδικούς που έχετε δημιουργήσει κατά την εγγραφή στην Αριάδνη. Σε περίπτωση που ήδη έχετε κωδικούς για την Ηλεκτρονική Καταχώρηση Εγγραφών μπορείτε να ενώσετε τους λογαριασμούς σας. Σε περίπτωση που δεν υπάρχουν ήδη κωδικοί επιλέξτε (Είμαι καινούργιος χρήστης και δεν έχω υφιστάμενους λογαριασμούς στο eFiling). Συμπληρώστε τις πληροφορίες που θα σας ζητηθούν και επιλέξτε Επόμενο. Θα πρέπει να επιλέξετε ξανά την επιλογή Καταχώρηση στοιχείων πραγματικού δικαιούχου και ακολούθως θα σας ζητηθεί ο αριθμός εγγραφής της εταιρείας. Στο επόμενο βήμα επιλέξτε το εικονίδιο «+» για να ξεκινήσει η διαδικασία καταχώρησης.
  • Επιλέξτε αναλόγως τον τύπο του πραγματικού δικαιούχου – A) Πραγματικός Δικαιούχος ή B) Ανώτατο Διοικητικό Στέλεχος
  • Ημερομηνία Καταχώρησης / Αλλαγής – όλες οι εταιρείες που έχουν ημερομηνία εγγραφής πριν τις 16/3/2021 θα πρέπει να υποβάλουν την ημερομηνία 16/3/2021.
  • Επιλέξτε το κατάλληλο i) Φυσικό Πρόσωπο ii) Εμπίστευμα iii) Ίδρυμα iv) ‘Άλλα παρόμοια νομικά μορφώματα v) Εισηγμένη Εταιρεία – και καταχωρήστε τις ζητούμενες πληροφορίες.
  • Στο Είδος και Έκταση Δικαιώματος επιλέξτε ένα από τα ακόλουθα που εφαρμόζετε i) Άμεση Ιδιοκτησία ii) ‘Έμμεση Ιδιοκτησία iii) Άμεση και Έμμεση Ιδιοκτησία.
  • Για την Έκταση Δικαιώματος επιλέξτε ένα από τα ακόλουθα  αναλόγως του ποσοστού % ιδιοκτησίας:
  1. Ποσοστό Μετοχών
  2. Δικαιώματα Ψήφου
  3. Σημαντική επιρροή ατόμου ή έλεγχος με άλλα μέσα

Σημειώστε ότι το σύνολο θα υπολογίζεται αυτόματα από το σύστημα και δεν πρέπει να ξεπερνά στο σύνολο τους το 100%.

  • Με την συμπλήρωση όλων των πιο πάνω στοιχείων επιλέξτε “Αποστολή” για καταχώρηση.

Σε περίπτωση δύο ή περισσότερων δικαιούχων η διαδικασία επαναλαμβάνετε από το σημείο 2.
